Terms of Service

The agreement between you and listai.tools: listings, the badge deal, paid tiers, sponsorships, refunds and the rules everyone here is held to.

1. The agreement

These Terms of Service (the “Terms”) are a binding agreement between you and the operator of listai.tools (“we”, “us”), named in full in section 18. They cover the website, the dashboard, the email we send you, the badge, and the MCP endpoint — everything at listai.tools (the “Service”).

By using the Service you accept these Terms. If you do not accept them, stop using the Service. If you use the Service on behalf of a company, you confirm you are allowed to bind it, and “you” means that company.

2. What listai.tools is

listai.tools is an independent directory of AI tools. We publish listings, editorial posts, rankings and collections. We do not build, sell, host or support the tools we list, we are not a party to anything you buy from them, and a listing is not an endorsement, a recommendation, or a statement that a tool is safe, lawful or fit for your purpose.

Listings link out to third-party websites. What happens on those sites is governed by their terms and their privacy policies, not ours. Check them before you hand anything over.

Editorial control stays with us. We decide what is listed, where it appears, how it is categorised, and whether it stays. We may edit a listing’s copy, screenshot, category or tags for accuracy and house style, and we may decline or remove any submission without giving a reason.

3. Accounts

You need an account to submit a listing, claim one, or buy anything. You must be at least 16 years old and give a working email address and accurate details. You are responsible for your credentials and for everything done through your account. Tell us at [email protected] if you think it has been used without your permission.

One account per person. Do not create accounts to evade a removal, a suspension, or a limit on the Service.

4. Submitting a listing

When you submit a tool you confirm that:

  • the information is accurate at the time you submit it, and you will keep it so;
  • you either own the tool, are authorised to represent it, or are submitting a publicly available product whose details you have not misrepresented;
  • you hold the rights to every logo, screenshot and description you upload; and
  • the listing does not infringe anyone’s rights and does not break section 8.

Every submission is read by a person before it is published, normally within 2 working days of submission or payment. If we have not decided within five working days, a paid purchase is refunded on request. A paid tier shortens the queue; it does not buy an approval. A listing that is published can later be edited, recategorised, unpublished or deleted — for inaccuracy, for a broken or parked domain, for a breach of these Terms, or because the tool no longer exists.

5. The badge deal, on free listings

A free listing is a trade: we publish and maintain a permanent page for your tool, and you display our badge, linking back to that page, on a page of your own site. The badge snippet is shown when you submit and in your dashboard.

We check for the badge automatically at submission and periodically afterwards. A missing badge never unpublishes the listing. Paid tiers do not require the badge.

Do not defeat the check: a badge hidden with CSS, rendered only to our crawler, marked nofollow, or placed on a page that is itself hidden from search engines counts as a missing badge.

6. Paid tiers

Paid tiers and their current prices are on the plans page shown when you submit. Prices are in US dollars, exclusive of any tax we are required to add, and are charged through our payment processor, Stripe. We never see or store your card details. Payment is taken once, up front, per purchase; nothing here renews automatically and no card is kept on file. The charge appears on your card statement under the descriptor shown to you on the Stripe checkout page — check it there before you pay if you want to recognise it later.

Paid tiers are time-boxed. Specifically:

  • a paid tier publishes an approved listing without the badge requirement and carries a do-follow link for the term you bought;
  • featuring runs for the number of days stated on the plan, counted from the moment the payment lands; and
  • when the term ends the listing reverts to the free tier and the badge deal in section 5 applies again. We email you before that happens.

A purchase moves a listing up a tier only. It never demotes an existing higher tier, and buying a tier while one is already running does not stack two terms end to end unless we say so in writing.

7. Sponsorships, ad rails and guest posts

Ad rail placements. A placement buys one slot on the rails for the stated term. You send the creative — an icon, a name, a URL — and we review it before it runs. We assign the side, the position and the window; you do not pick the slot, because the number of slots sold has to equal the number of slots that exist. Placement links carry rel="sponsored". If we reject a creative and you have no replacement we will refund the term.

Category sponsorship. A sponsorship buys an exclusive card above one category’s grid for the stated term. Payment holds the window; the review decides whether your name goes on the page. We assign the earliest free window on that category’s calendar — you do not choose the dates. If we reject the sponsorship we refund it in full and release the window.

Guest posts. Anything submitted through Write for us is subject to editorial review, edit and rewriting. We do not publish undisclosed paid links, we do not sell placement inside editorial ranking, and we may remove a published post at any time.

What ranking is not. Paid tiers pin listings into a visible featured band and paid cards say so. Upvote order, editorial rankings, and what our MCP endpoint returns are not for sale, and no amount of money changes them.

8. Prohibited content and conduct

Do not submit, publish, buy placement for, or link to:

  • anything unlawful where you are or where we are, including material that infringes copyright, trade marks or privacy;
  • malware, credential harvesters, phishing pages, or a tool whose function is to break into systems or accounts that are not the user’s;
  • adult content, gambling, drugs, weapons, or medical and financial claims we cannot check;
  • products built to generate non-consensual sexual imagery, deepfakes of real people, or impersonation of a person or brand;
  • an empty domain, a parked page, an affiliate doorway, or a clone of another listed tool dressed as a new product;
  • a listing whose name, logo or copy impersonates another product, or is chosen to hijack another brand’s search traffic.

And do not:

  • manipulate upvotes, reviews, streaks, badges or rankings — by multiple accounts, bought engagement, scripts, or incentives paid to third parties;
  • post reviews for a tool you own or compete with, or write reviews under a name that is not yours;
  • scrape the site in bulk, ignore robots.txt, hammer the API or the MCP endpoint, or republish the directory as your own; or
  • probe, disrupt or attempt to breach the Service, its infrastructure or another user’s account.

Report anything that breaks this section to [email protected] or through the report control on the listing.

9. Claiming a listing

A listing can be claimed by whoever controls the tool’s domain. We ask for proof of that control, and we may ask for more where the proof is weak or the claim is contested. An approved claim transfers management of the listing — not the listing itself, which remains published by us under these Terms. We may reverse a claim we later find was made in bad faith.

10. Your content, and ours

You keep ownership of what you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting, publish and display that content on the Service and in our own marketing of the Service — including social posts, newsletters and link previews — for as long as the listing is published and for a reasonable period afterwards in archives and caches. The licence survives deletion only to that extent.

Everything else — the site, its design, the code, the taxonomy, our editorial copy, the badge artwork and the name listai.tools — belongs to us. You may use the badge only to link back to your own listing, and only unaltered apart from the light and dark variant we provide.

11. Automated access and MCP

Our MCP endpoint and public feeds are provided for reading the directory. Use them within any published rate limit, do not present the results as your own dataset, and do not use them to reconstruct the database in bulk. We may change, limit or withdraw them at any time, and we may block a client that abuses them.

12. Refunds and cancellation

What you buy is digital and it is delivered immediately: a tier applies to a listing, a window is held, a slot is booked. If you are a consumer in the EU or the UK you normally have 14 days to withdraw from a distance contract — by asking for the purchase you ask us to start performing at once, and once it is fully performed that right is spent. Where performance has started but has not finished, you may withdraw and we will keep a proportionate amount for what has already run.

Outside of that: we refund a purchase we could not deliver — a rejected creative, a sponsorship we declined, a slot we could not place — and we refund a duplicate or mistaken charge. We do not refund a term that has already run because you were disappointed with the traffic, and we do not refund a listing removed for breaching section 8. Ask at [email protected]; we would rather refund than argue.

A chargeback raised without asking us first ends the purchase and may end the listing. Where a payment is reversed we revert the tier, release the placement, and may suspend the account until it is settled.

13. Suspension and termination

You may close your account at any time from the dashboard or by emailing us. We may suspend or remove a listing, an account, or access to the Service where these Terms are broken, where we are required to by law, or where continuing would expose us or our users to harm. Where a paid term is cut short by our decision and you were not at fault, we refund the unused part.

Sections 10, 14, 15, 16 and 19 survive termination.

14. No warranties

The Service is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, that listings are accurate or current, that a third-party tool does what it claims, or that any listing, post or placement will produce traffic, rankings, sales or a search-engine result. Nothing we say about SEO value is a promise, because no one controls a search engine’s decisions.

15. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss, nor for lost profit, revenue, data, goodwill or business opportunity, however it arises. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or 50 USD.

Nothing here excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, for fraud, or under the mandatory consumer law of the country you live in.

16. Indemnity

You will indemnify us against claims, losses and reasonable legal costs arising from content you submitted, from your use of the Service, or from your breach of these Terms — except to the extent they arise from our own act or omission.

17. Changes

We may change these Terms. The date at the top says when they last changed. Material changes are announced by email or on the site before they take effect; continuing to use the Service after that is acceptance. If you do not accept a change, stop using the Service — and if a change materially reduces something you have already paid for, ask us for a refund of the unused part.

We may also change the Service itself: features, prices for future purchases, tiers and layout. A change to a price never applies to a term you have already bought.

18. Who operates this

The Service is operated by Piotr Boroń, conducting unregistered business activity under Article 5 of the Polish Entrepreneurs’ Law Act of 6 March 2018, at al. Solidarności 68/121, 00-240 Warsaw, Poland. Contact: [email protected].

19. Law and disputes

These Terms are governed by the law of Poland, and the courts of Poland have exclusive jurisdiction — except that if you are a consumer, you keep the protection of the mandatory law of the country you live in and may bring a claim in your own courts. Consumers in the EU may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

If any part of these Terms is unenforceable, the rest stands. Our not enforcing something once is not a waiver of it. These Terms, with the Privacy Policy, are the whole agreement between us.
